Wholesale Terms and Conditions

Terms
This Wholesale Agreement ("Agreement") is entered into as of , by and between:

Not a Sheep, Inc., located in Glen View, IL ("Supplier"), and located at ("Retailer").
 

1. Purpose
The Supplier agrees to sell, and the Retailer agrees to purchase, products from Goat Armor for resale under the terms outlined in this Agreement.
 

2. Order Minimums
Initial order minimum: $500
Reorder minimum: $1
 

3. Shipping & Delivery
Orders ship from Glen View, IL
Shipping costs are the responsibility of the Retailer unless otherwise agreed in writing.
Typical handling time is 2 business days from order confirmation.
Retailer must inspect shipments within 5 business days and report any discrepancies.
 

5. Returns & Refunds
Returns accepted only for defective or incorrect items, reported within 5 days of delivery.
Restocking fee of 10% may apply for unauthorized returns plus cost of shipping or pickup/
Return shipping is the Retailer’s responsibility unless items were damaged or sent in error.
 

6. Sales Channels
Retailer may sell Goat Armor products via: Physical storefronts and Retailer's own website
Retailer must have written approval to sell on third-party marketplaces (e.g., Amazon, TCGPlayer, Walmart.com).
Retailer agrees to notify Supplier of all sales channels used.
 

7. Minimum Advertised Price (MAP)
Retailer agrees not to advertise Goat Armor products below the MAP outlined in wholesale price.
 

Violations may result in suspension or termination of the wholesale account.
 

8. Branding & Representation
Retailer may use approved Goat Armor product images and descriptions for promotion.
Retailer may not rebrand, relabel, or misrepresent the products in any way.
 

9. Confidentiality
Retailer agrees not to disclose wholesale pricing, product roadmap, or any non-public information shared by Supplier.
 

10. Termination
Either party may terminate this Agreement with 14 days’ written notice.
Supplier may terminate immediately for MAP violations, resale on unauthorized platforms, or brand misuse.
 

11. Indemnification
Retailer assumes all liability for products once delivered, including customer use, resale, and regulatory compliance in their region.
 

12. Governing Law
This Agreement shall be governed by the laws of the State of Illinois.
 

13. Force Majeure
Neither party shall be liable for failure or delay in performance due to circumstances beyond reasonable control (e.g., natural disasters, strikes, government restrictions).
 

14. Entire Agreement
This document and its attachments constitute the entire agreement between Supplier and Retailer.
